SHIPPINGLOT MASTER SERVICE AGREEMENT

This Master Service Agreement ("Agreement") is entered into by and between Shippinglot LLC ("Shippinglot", "We", "Us") and the entity or person accessing our services ("Client", "You"). By registering an account, accessing the Shippinglot API, or sending inventory to our warehouses, you agree to be bound by these terms.

  • 1. SCOPE OF SERVICES

    Shippinglot provides a technology-driven logistics platform offering:
    • (a) Warehousing & Fulfillment: Storage, picking, packing, and shipping of Client's inventory.
    • (b) Software Platform & API: Access to our web dashboard and Application Programming Interface (API) for order management and inventory tracking.
    • (c) Marketplace Integration: Tools to sync data between Shippinglot and third-party platforms (e.g., Amazon, Shopify, Etsy).
  • 2. ACCOUNT & API USAGE
    • (a) Registration: You must provide accurate business information during registration. You are responsible for maintaining the confidentiality of your account credentials and API keys.
    • (b) API License: Subject to this Agreement, Shippinglot grants you a limited, non-exclusive, non-transferable license to access our API solely for your internal business operations related to Shippinglot services.
    • (c) Restrictions: You may not (i) reverse engineer the Platform; (ii) use the API to build a competing service; or (iii) exceed reasonable request rate limits imposed by Shippinglot.
  • 3. INBOUND SHIPMENTS & RECEIVING
    • (a) Requirements: All incoming inventory must follow Shippinglot's Inbound Routing Guide. We reserve the right to refuse shipments that are damaged, unidentified, or non-compliant.
    • (b) Processing Time: Standard receiving turnaround is [48-72] hours from arrival, subject to volume surges during peak seasons (Q4).
  • 4. STORAGE & INVENTORY
    • (a) Title: Title to the inventory remains with the Client at all times. Shippinglot is a bailee of the goods.
    • (b) Prohibited Items: You represent and warrant that you will not store illegal goods, hazardous materials (HAZMAT) without prior approval, explosives, or live animals.
    • (c) Lien: Shippinglot shall have a general lien on all inventory in our possession for any outstanding fees or charges due.
  • 5. FULFILLMENT & SHIPPING
    • (a) Service Levels: We strive to ship orders received before [2:00 PM Local Time] on the same business day.
    • (b) Carrier Selection: Unless a specific carrier is mandated by the Client, Shippinglot may select the most efficient carrier for the chosen service level (Standard, Express, Overnight).
    • (c) International Shipping: Client is the "Exporter of Record" and responsible for all customs duties, taxes, and compliance with import/export laws.
  • 6. FEES & PAYMENTS
    • (a) Billing: Fees are based on the current Rate Card available in your dashboard. Services are billed [Weekly/Bi-Weekly] or deducted from a prepaid wallet balance.
    • (b) Payment Terms: Invoices are due upon receipt. Unpaid balances beyond [7] days may result in suspension of services and a late fee of [1.5%] per month.
  • 7. LIABILITY & INSURANCE
    • (a) Limit of Liability: Shippinglot’s liability for lost or damaged inventory while in our warehouse is limited to the lower of (i) the manufacturing cost of the goods, or (ii) $0.50 per pound.
    • (b) No Consequential Damages: In no event shall Shippinglot be liable for lost profits, loss of goodwill, or indirect/consequential damages.
    • (c) Insurance: Client is strongly encouraged to maintain their own cargo/inventory insurance policy covering goods in transit and storage.
  • 8. TERMINATION
    • (a) By Client: You may terminate this agreement with [30] days written notice, provided all outstanding invoices are paid and inventory is removed.
    • (b) By Shippinglot: We may terminate for cause immediately upon breach of terms, or for convenience with [30] days notice.
  • 9. GENERAL PROVISIONS
    • (a) Governing Law: This Agreement is governed by the laws of the State of [Delaware/Your State], USA.
    • (b) Force Majeure: Neither party is liable for delays caused by events beyond reasonable control (e.g., acts of God, terrorism, labor strikes).
    • (c) Modifications: Shippinglot may update these terms by posting a revised version on the website. Continued use of services constitutes acceptance.
